Clear Channel Outdoor Holdings has cleared the final regulatory hurdle standing between it and new ownership, announcing that the Committee on Foreign Investment in the United States has approved its pending acquisition by Mubadala Capital.

According to the company’s announcement, all regulatory requirements for the merger have now been obtained. Clear Channel expects the transaction to close on or about 14 October 2026, subject to the satisfaction or waiver of the remaining customary closing conditions. The two sides have been working toward the deal since the start of the year.

What the deal means for shareholders

Under the terms of the previously announced definitive agreement, stockholders will receive $2.43 per share in cash once the merger completes. Following the closing, the company’s common stock will cease trading and will no longer be listed on the New York Stock Exchange, taking one of the out-of-home industry’s biggest names private. Reports trace the deal to a February agreement that valued the enterprise at roughly $6.2 billion, with shareholders approving the merger in May.

The CFIUS decision matters because the committee reviews certain foreign investments in American businesses for national security considerations, and Mubadala Capital’s involvement meant the acquisition required that sign-off before the parties could proceed. Its completion removes the last named obstacle to closing.

An out-of-home sector in transition

The takeover lands as the outdoor advertising business keeps shifting from static posters to digital panels, programmatic trading and measured campaigns. Clear Channel has positioned its platform around the expansion of digital billboards and the use of data analytics to make out-of-home buying simpler and more accountable — a transition mirrored across the channel as legacy formats continue to lose ground to digital rivals.

Industry watchers will now be listening for how the new ownership plans to invest in that digital estate, and whether private ownership changes the pace at which the company’s billboard portfolio is converted to screens and sold to advertisers.
